Terms of Use

1. Introduction & Overview

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Randamu ACG Group Pte. Ltd. (UEN: 202437995M (“Randamu”, “we”, “us”, or “our”). These Terms govern your use of our website, mobile site, applications, and all online services operated by Randamu that link to these Terms (collectively referred to as the “Service”).

By accessing or using our Service, you confirm that you have read, understood, and agreed to be bound by these Terms. You also consent to the collection, use, and disclosure of your personal data in accordance with our Privacy Policy, which complies with Singapore’s Personal Data Protection Act 2012 (PDPA).

If you do not agree to these Terms, you must stop using the Service immediately.

Consumer Notice (Singapore): Nothing in these Terms is intended to exclude or limit your rights under the Consumer Protection (Fair Trading) Act 2003, the Sale of Goods Act (Cap. 393), or any other non-excludable statutory right under Singapore law

2. Ownership and Intellectual Property

All content on the Service, including but not limited to text, data, images, graphics, logos, videos, audio clips, software, and designs (collectively, the “Content”), is owned by Randamu or our licensors. The Content is protected by copyright, trademark, and other applicable laws in Singapore and internationally.

You are granted a limited, non-exclusive, revocable, and non-transferable licence to access and use the Service and to view the Content on your personal device for personal and non-commercial use only. You may not copy, modify, reproduce, distribute, or create derivative works based on the Content without Randamu’s prior written
permission.

Any unauthorised use of the Service or Content may result in civil or criminal liability.

3. Eligibility and Account Responsibilities

The Service is intended for individuals aged thirteen (13) years or older. If you are under eighteen (18), you must obtain verifiable parental or guardian consent before creating an account or making any purchase.

You must provide accurate and complete information when creating an account, maintain its security, and promptly update your details when they change. You are responsible for all activities that occur under your account, whether authorised or not.

If you suspect unauthorised access or misuse, you must notify Randamu immediately at hello@randamuanime.com. Randamu shall not be liable for any loss or damage resulting from your failure to protect your account credentials.

4. Campaigns, Pre-orders, and Product Sales

Randamu may offer time-limited campaigns such as pre-orders or crowdfunding drives for certain products (the “Products”). Each
campaign may specify a minimum order goal required for production.

If the minimum order goal is not met, your order will be cancelled and refunded via your original payment method, less any disclosed non-refundable processing fees (if permitted by law).

If the goal is met or not required, your purchase becomes final, non-cancellable, and non-refundable, except as required by law or under the
“Production and Shipping Delays” clause below.

4.1. Product Information

Randamu strives to ensure that all Product descriptions, specifications, and images are accurate. However, errors or variations may occur. We reserve the right to correct any inaccuracies, cancel affected orders, and issue full refunds where necessary. Colours may appear differently depending on your device’s display.

4.2. Production and Shipping Delays

All production and shipping timelines are good-faith estimates. If your Product is delayed by more
than 180 days from the latest estimated ship date shown at checkout, you may choose to:

(a) continue to wait for delivery, or

(b) request a refund of the Product price, less any non-refundable processing fees disclosed at checkout, if permitted by law.

This clause ensures fairness to both customers and creators while maintaining compliance with Singapore’s consumer laws.

4.3. Manufacturing Variations

Minor variations of up to ±5% in colour, texture, stitching, embroidery, packaging, or dimensions compared to prototypes or display images are normal and not considered defects. Randamu may make non-material substitutions to packaging or internal components required by manufacturing or compliance standards.

4.4. Risk and Title

For deliveries to Singapore addresses, title and risk pass to you when the Product is delivered to your address or a person designated by you. For international orders, title and risk pass according to the delivery terms displayed at checkout (for example, DAP or DDP under Incoterms®).

You are responsible for ensuring that your delivery address is correct. Randamu is not liable for losses caused by incorrect delivery information provided by you.

4.5. Defects and Returns

You must report any manufacturing defect within fourteen (14) days of delivery by emailing hello@randamuanime.com
with your order number and clear photo or video evidence of the issue. Randamu may require the item to be returned in its original packaging. If the defect is verified, Randamu will repair, replace, or refund the Product at its discretion.

If the Product has been used, altered, or damaged after delivery, Randamu may reasonably decline a return or limit the remedy to a partial credit.

This policy does not affect any non-excludable statutory rights under Singapore law.

4.6. Personal Use and Quantity Limits

Products are sold for personal use and not for resale unless expressly approved in writing by Randamu. Randamu reserves the right to limit quantities per customer and to cancel suspected bulk or reseller orders with a refund.

4.7. Chargebacks and Abuse

Randamu may dispute any chargeback or payment reversal that lacks valid justification, including disputes filed after confirmed delivery. If a chargeback is resolved in Randamu’s favour, you authorise us to re-charge your payment method or invoice you for the reversed amount. Randamu may suspend accounts that engage in
fraudulent or abusive behaviour.

4.8. Force Majeure

Randamu is not responsible for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, sanctions, strikes, supply chain interruptions, or government restrictions.

In such cases, performance will be suspended for the duration of the event and timelines will be extended accordingly.

5. Merchant of Record

For all purchases made on the Service, Randamu ACG Group Pte. Ltd. is the merchant of record and contractual seller. Any creator content or campaign materials shown on the Service are for promotional purposes and do not constitute separate offers by creators.

All payments are collected by Randamu, and all obligations for manufacture, fulfilment, and delivery rest with Randamu or its appointed agents.

6. Creator and User Content

Creators and users who submit content (such as designs, images, text, or feedback) represent and warrant that they own or have all necessary rights and licences to use that content.

By submitting content, you grant Randamu a worldwide, perpetual, royalty-free, and irrevocable licence to use, reproduce, distribute, modify, adapt, and display the content for purposes including marketing, production, and platform operation.

You also agree to indemnify and hold Randamu harmless against any claims, damages, or expenses arising from your submissions.

6.1. IP Notices

If you believe your intellectual property rights are being infringed, you may notify Randamu at hello@randamuanime.com with sufficient
details of the alleged infringement. Randamu will act expeditiously, which may include removing content or suspending campaigns.

7. Payment, Taxes, and Duties

All prices are displayed in Singapore Dollars (SGD) or as shown at checkout. Prices will indicate whether Goods and Services Tax (GST) is included.

You are responsible for any additional taxes, duties, or import charges that may apply in your jurisdiction unless otherwise stated at checkout.

Randamu reserves the right to revise prices at any time but will honour the price confirmed at checkout for completed purchases.

8. Promotions and Community Platforms

Randamu may organise contests, giveaways, or promotions (collectively, “Promotions”) on its Service or through third-party platforms such as Discord, TikTok, Instagram, or Twitch. Each Promotion is subject to its specific terms and official rules published at the time of the event.

In the event of any conflict between these Terms and the Promotion rules, the Promotion rules will prevail.

9. Digital Items

Any digital content or bonuses provided as part of a Product are licensed, not sold, for personal, non-commercial use. You may not reproduce, distribute, or share such digital content without written permission from Randamu.

10. Privacy and Data Protection

Randamu collects, uses, and discloses personal data in accordance with our Privacy Policy and the Personal
Data Protection Act 2012 (PDPA)
.

By using the Service, you consent to such processing, including cross-border transfers with appropriate safeguards. You may withdraw consent or request access to your data as described in the Privacy Policy. Randamu complies with the Do Not Call (DNC) provisions under the PDPA and will send marketing messages only with your consent.

11. Disclaimer of Warranties

The Service and Content are provided on an “as is” and “as available” basis. Randamu makes no representation or warranty, express or implied, regarding the Service’s accuracy, reliability, or uninterrupted operation.

All implied warranties, including merchantability, satisfactory quality, and fitness for a particular purpose, are disclaimed to the fullest extent permitted by law.

Nothing in this clause excludes liability that cannot be lawfully excluded under Singapore law.

12. Limitation of Liability

To the maximum extent permitted by law, Randamu and its officers, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages, or for loss of profits, goodwill, or data arising out of or in connection with
the Service or any Product.

Where liability cannot be excluded, Randamu’s total liability shall not exceed the greater of S$100 or the amount you paid for the affected Product or Service.

This limitation does not apply to death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Singapore’s Unfair Contract Terms Act (Cap. 396).

13. Indemnification

You agree to indemnify, defend, and hold harmless Randamu, its officers, employees, and affiliates from and against all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, misuse of the Service, or violation of applicable law.

14. Complaints and Customer Support

If you have a complaint or issue, please contact us at hello@randamuanime.com with your order number and details of the issue. Randamu will acknowledge your complaint within three (3) business days and aim to resolve it within fourteen (14) business days.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore.

You agree to first attempt to resolve any dispute by contacting Randamu at hello@randamuanime.com within 30
days
of the issue arising.

If the dispute cannot be resolved, you agree that it shall be submitted to the courts of Singapore, which will have
exclusive jurisdiction.

Either party may also bring a claim in the Small Claims Tribunals of Singapore, if within its monetary jurisdiction.

By mutual agreement, the parties may refer a dispute to arbitration under the Singapore International Arbitration Centre (SIAC) rules, before one arbitrator in Singapore, with proceedings conducted in English.

16. Changes to These Terms

Randamu may modify these Terms at any time. Updated versions will take effect upon posting, but will not affect orders placed before the effective date unless required by law or more favourable to you.

Your continued use of the Service constitutes acceptance of the updated Terms.

17. General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

No waiver of any term shall be effective unless made in writing and signed by an authorised representative of Randamu.

Randamu may assign its rights and obligations under these Terms to its affiliates or successors without notice. You may not assign your rights without our written consent.

These Terms represent the entire agreement between you and Randamu regarding your use of the Service and supersede all prior agreements.
